EULA (End-User License Agreement) for Food Truck Live™ App

Please read this EULA carefully before downloading, installing or using the App.
By downloading, installing, and using the App you agree to be bounded by the terms of this EULA. If you do not agree to the terms of this EULA, do not download, install or use the App.

This EULA is a legal agreement between you (either an individual - the party that is looking for mobile food vendor services (“User”) or a mobile food vendor - the party that is selling the food services (“Vendor”)) and ABCPress, LLC the (“Author”) of this Software (“App”).

Who’s looking for mobile food vendor services (“User”) agrees to:
1) The fact that all the information about the Vendor(s) comes directly from them, who will provide their food truck/business name; a complete URL of their website, Instagram, Twitter or Facebook page; their location, and the timeframe they will be there, open for business.
2) The fact that the Vendor’s location is a geolocation (Latitude / Longitude) data, not a readable address.
3) Always double check the timeframe the Vendor provided to make sure there is enough time to attend their event.
4) The fact that the pin lasts 4 hours on the map independently of the timeframe informed.
5) The Author is not related nor has any business with any Vendors regarding their food services.

Who’s selling food services (“Vendor”) agrees that:
1) All the information provided is lawful, and you have the necessary rights to publicize them.
2) You have the legal authority to bind your organization to this agreement.
3) You have all the required and valid permits to perform your duties.
4) You have to be subscribed to the service paying a fee for that to be able to create an event.
5) You'll be present and available at the informed location.
6) If you decide to leave early you shall edit the timeframe before leaving the venue to reflect that.
7) The pin lasts 4 hours on the map independently of the timeframe informed.
8) You shall defend, indemnify, and hold harmless the publisher / App company / its Owners from any liability and claim that may arise during each one of your events.
9) The subscription may be canceled if any of the above conditions are not met with no right to reimbursement.

Copyright
The App is protected by copyright laws and international treaty provisions. Therefore, you must treat the App like any other copyrighted material.

License
The Author grants you a revocable, non-exclusive, non-transferable, limited license to download, install and use the App solely for the purpose of connecting a mobile food Vendor and its customers strictly in accordance with the terms of this Agreement.

Restrictions
You agree not to, and you will not permit others to: license, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the App or make it available to any third party. You may not reverse engineer, decompile, or disassemble the App. Whoever wants to get a copy of the App should, using their own personal device, go to the app store and do rightfully so.

Modifications to Application
The Author reserves the right to modify, suspend or discontinue, temporarily or permanently, the Application or any service to which it connects, with or without notice and without liability to you.

Term and Termination
This Agreement shall remain in effect until terminated by you or the Author. The Author may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice. This Agreement will terminate immediately, without prior notice from the Author, in the event that you fail to comply with any provision of this Agreement. Upon termination of this Agreement, you shall cease all use of the Application and delete it from your device.

Amendments to this Agreement
The Author reserves the right, at its sole discretion, to modify or replace this Agreement at any time and that its current version is the only one that can and will be enforceable.

Limited Warranty, No Warranties
The Author expressly disclaims any warranty for the App. The App is provided “as is” without warranty of any kind. The entire risk arising out of use or performance of the App remains with you.

No Liability for Damages
In no event shall the Author of the App be liable for any special, consequential, incidental or indirect damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the App, even if the Author is aware of the possibility of such damages and known defects.

Severability
If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Dispute Resolution
Any dispute that may arise in connection with this Agreement shall be resolved in accordance with the laws of the State of Florida in a Florida court room.
